Billing, Terms, and Conditions

Welcome to Chetan Kumar's HubSpot CMS Development Services (referred to as "we," "our," or "us"). By engaging our services, you agree to comply with the following billing, terms, and conditions outlined below:

Billing and Payment

  1. Service Fees: The fees for our HubSpot CMS Development services, including assets (modules and themes) offered on the HubSpot Marketplace, shall be communicated to you before starting the project. The fees will depend on the scope and complexity of the project.

  2. Payment Terms: Payment for our services is typically required as follows:

    • For projects with a total cost under $500: Full payment is required upfront before work begins.
    • For projects with a total cost over $500: A deposit of 50% of the total project cost is required upfront, and the remaining balance is due upon completion and delivery of the project.

  3. Payment Methods: We accept payments via PayPal, credit/debit cards, or any other payment method agreed upon during project discussions.

  4. Late Payments: In the event of delayed payment, we reserve the right to pause or suspend project development until payment is received. Late payments may be subject to a late fee of 1.5% per month or the maximum allowable by law, whichever is lower.

Project Scope and Deliverables

  1. Requirements: You agree to provide all necessary information and materials required for the successful completion of the project. This includes design specifications, access to your HubSpot account, and any other relevant details.

  2. Timelines: We will work with you to define a project timeline, and we will make every reasonable effort to meet the agreed-upon deadlines. However, delays may occur due to factors beyond our control. We will communicate any potential delays and work together to find a solution.

  3. Revisions: We offer a specified number of revisions based on the scope of the project. Additional revisions beyond the agreed-upon number may incur additional fees.

  4. Project Completion: The project is considered complete once the final deliverables are provided to you and any outstanding payments are settled.

Intellectual Property

  1. Ownership: Upon completion and full payment for the project, you will own the intellectual property rights to the developed assets or deliverables for use in your HubSpot account.

  2. Portfolio and Promotion: We reserve the right to showcase the completed project in our portfolio or promotional materials unless you expressly request otherwise in writing.

Confidentiality

  1. Data Protection: We will treat all information you provide as confidential and will not disclose it to third parties without your consent, except as required by law.

  2. Non-Disclosure Agreement: If you require a formal Non-Disclosure Agreement (NDA), please notify us, and we will be happy to sign one to protect your confidential information.

Limitation of Liability

  1. Indirect Damages: In no event shall we be liable for any indirect, special, incidental, consequential, or punitive damages arising out of or relating to the services provided.

  2. Total Liability: Our total liability for any claim related to our services shall not exceed the total amount paid by you for the specific project.

Termination

  1. Mutual Termination: Either party may terminate the project or services by providing written notice to the other party. In the event of termination, you will be responsible for the agreed-upon fees for work completed up to that point.

  2. Termination for Cause: We reserve the right to terminate the project or services immediately if you breach any terms outlined in this agreement or engage in unethical or inappropriate behaviour.

Governing Law and Jurisdiction

This agreement shall be governed by and construed in accordance with the laws of Uttar Pradesh, India, and any disputes arising under or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts of Uttar Pradesh, India.

Changes to this Agreement

We may update this Billing, Terms, and Conditions page from time to time. Any changes will be posted on this page, and the "Last Updated" date will be revised accordingly.
